1. Acceptance of Terms

These Terms of Service govern your access to and use of ViaVinco LLC's websites, applications, and related services (the "Service"). By accessing or using the Service, you agree to these Terms.

2. Eligibility

You must be at least 18 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

You are responsible for maintaining accurate account information and for safeguarding your account credentials. You are responsible for all activity that occurs under your account.

4. Description of the Service

ViaVinco is a professional content internalization platform that enables users to:

• Create, store, and organize talk tracks and professional messaging content.
• Generate text-to-speech audio of their content via AI voice technology.
• Practice content through passive listening, transcript reading, and handwriting exercises.
• Loop the full talk track or one section at a time.
• Upload handwritten notes and supporting practice materials.

The Service is used by sales professionals, job seekers, founders, public speakers, students, athletes, medical students, and other professionals seeking to internalize spoken content.

The Service is provided for content practice and memorization purposes only. ViaVinco does not guarantee any specific outcome, including but not limited to sales performance, interview success, job placement, revenue results, professional advancement, academic results, or examination performance.

Important notice for users in medical, legal, financial, and other licensed professions: ViaVinco does not verify the accuracy, completeness, or currency of any content created or practiced by users. Users in medical, legal, financial, or other licensed or regulated professions are solely and exclusively responsible for ensuring the accuracy of their content. Nothing practiced through the Service constitutes medical advice, legal advice, financial advice, or professional guidance of any kind. ViaVinco assumes no liability whatsoever for any decisions made, actions taken, or outcomes resulting from content practiced through the Service.

5. Acceptable Use

You agree not to use ViaVinco to upload, record, store, generate, process, or share content unless you have the required rights, permissions, and consents. You are responsible for understanding and following any recording, privacy, employment, confidentiality, copyright, and data protection laws that apply to your use of the Service.

You may not use the Service to:

• Upload, record, store, generate, process, or share content unless you own that content or have all rights, permissions, and consents required to use it with the Service.
• Secretly record others or upload another person's voice, conversation, meeting, call, or private communication unless you have all legally required rights and consents.
• Upload confidential employer, customer, prospect, business, medical, financial, legal, regulated, or third-party information unless you have permission and the legal right to use it with ViaVinco.
• Create, upload, store, generate, process, or share content that is illegal, abusive, harassing, threatening, defamatory, obscene, hateful, infringing, deceptive, fraudulent, or otherwise harmful.
• Violate copyrights, trademarks, trade secrets, privacy rights, publicity rights, contractual duties, employment obligations, or other third-party rights.
• Bypass subscription limits, usage limits, security controls, rate limits, access controls, or technical restrictions.
• Scrape, crawl, reverse engineer, decompile, copy, resell, exploit, attack, disrupt, or interfere with the Service or related systems.
• Upload malware, harmful code, spam, or automated abuse.
• Use ViaVinco, voice recordings, or AI-generated audio for impersonation, deception, fraud, misrepresentation, harassment, or harmful synthetic voice use.
• Use the Service in any way that violates applicable law or creates legal, security, privacy, or operational risk for ViaVinco, other users, or third parties.

We may remove content, restrict access, suspend or terminate accounts, or take other appropriate action if we believe a user has violated these Terms, created legal or security risk, infringed third-party rights, or used ViaVinco in a way that could harm ViaVinco, other users, or third parties.

6. Copyright Complaints

Users may not upload, record, store, generate, or share content that infringes copyrights or other third-party rights. Copyright owners or authorized agents may send copyright complaints to support@viavinco.com.

A copyright complaint should include:

• A signature of the copyright owner or a person authorized to act on the owner's behalf.
• Identification of the copyrighted work claimed to have been infringed.
• Identification or location of the material claimed to be infringing.
• Your name, mailing address, telephone number, and email address.
• A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
• A statement that the information in the notice is accurate and that, under penalty of perjury, you are the copyright owner or authorized to act on behalf of the copyright owner.

ViaVinco may remove or disable access to allegedly infringing content and may suspend or terminate accounts of repeat infringers. This section is not a substitute for registering a DMCA designated agent with the U.S. Copyright Office, and it does not guarantee any legal safe harbor.

7. Subscriptions, Billing, Free Trials, Cancellation, and Refunds

• ViaVinco is offered as a subscription currently priced at $39 per month.
• Subscriptions automatically renew on a monthly basis until canceled.
• ViaVinco may offer a 3-day free trial. A valid payment method is required to start the free trial. Unless canceled before the end of the trial period, the subscription will automatically convert to a paid monthly subscription at $39 per month.
• By starting a trial or subscribing, you authorize ViaVinco and its payment processor to charge your payment method on a recurring monthly basis unless canceled.
• Payments, billing details, invoices, and subscription management may be handled by Stripe or another payment processor. We do not store full payment card numbers on our servers.
• You are responsible for keeping your billing information current. If payment fails or your subscription becomes past due, we may limit, suspend, or terminate access to paid features.
• You may cancel at any time through your billing portal or account settings. Cancellation stops future billing.
• After cancellation, you will continue to have access to the Service until the end of your current paid billing period.
• Payments are non-refundable except where required by law.
• We may change subscription pricing or plan features in the future. If required by law or payment processor rules, we will provide notice before changes affect your existing subscription.

8. Your Content

You retain ownership of scripts, recordings, transcripts, notes, files, practice activity, and other materials you create, upload, save, or submit through the Service ("Your Content"). You are responsible for Your Content and for ensuring you have all rights and permissions needed to use it with the Service.

F. Voice Recordings

• Voice recordings you save within the Service are Your Content and remain your property.
• Saved recordings are stored in Supabase Storage associated with your account and are accessible only to you and authorized ViaVinco/Supabase infrastructure.
• Unsaved recordings are never transmitted to ViaVinco servers and are discarded when you leave or reset the session.
• ViaVinco does not use your voice recordings to train AI or machine learning models.
• You may delete your saved recordings at any time within the app.

9. License to Your Content

You grant ViaVinco a limited, non-exclusive, worldwide license to host, store, process, display, transmit, and otherwise use Your Content only as necessary to provide, secure, support, and improve the Service.

10. Service Availability and Changes

We may update, suspend, modify, or discontinue parts of the Service from time to time. We will use reasonable efforts to maintain reliable access, but we do not guarantee uninterrupted availability.

11. Third-Party Services

The Service may depend on third-party providers for hosting, storage, authentication, payments, analytics, or other infrastructure. Your use of third-party services may be subject to their own terms and policies.

12. AI Text-to-Speech and Third-Party Voice Providers

• When you generate AI audio, the text you provide for that generation is sent to our text-to-speech provider, ElevenLabs, to create the audio output and support operation of the Service.
• ElevenLabs may process that content according to its own terms, privacy policy, data processing terms, and account-level data-use settings.
• We do not sell your talk tracks, recordings, or generated audio.
• You are responsible for ensuring that any text, script, notes, or other material submitted for text-to-speech processing is lawful, accurate, and yours to use.
• We recommend that you do not submit sensitive, confidential, regulated, or third-party information unless you have the right to do so.
• If ViaVinco enters into a separate data processing agreement or enterprise arrangement with a provider that restricts provider data use, our disclosures should be updated to match that arrangement.
• ViaVinco does not guarantee that any specific AI voice, voice quality, pronunciation, output, or text-to-speech provider will remain available.

13. Feedback

If you provide feedback, ideas, or suggestions, you grant ViaVinco permission to use them without restriction or compensation.

14. Intellectual Property

ViaVinco and its licensors own all rights, title, and interest in the Service, including software, design, branding, and other materials, excluding Your Content.

15. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. ViaVinco does not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• The Service will meet your requirements or expectations.
• Any results, recommendations, practice progress, or performance outcomes will be achieved.
• ANY CONTENT CREATED OR PRACTICED THROUGH THE SERVICE IS ACCURATE, COMPLETE, OR FIT FOR ANY PROFESSIONAL PURPOSE.

ViaVinco is a content practice tool only. It does not provide medical advice, legal advice, financial advice, or any other form of professional guidance. Users in medical, legal, financial, or other licensed professions are solely responsible for verifying the accuracy of all content they create and practice through the Service. ViaVinco shall have no liability whatsoever for any clinical, legal, financial, or other professional decisions made in reliance on content practiced through the Service.

16. Privacy

Our Privacy Policy explains how we collect, use, store, and protect information. By using the Service, you agree to our Privacy Policy.

17. Limitation of Liability

To the fullest extent permitted by law, ViaVinco will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill.

18. Microphone Access and Consent to Voice Collection

• Certain features of the Service, including talk track creation by recording and practice session recording, require access to your device microphone.
• By using these features, you expressly consent to ViaVinco accessing your device microphone and, if you choose to save a recording, storing the resulting audio file in association with your account.
• You may only record your own voice unless you have all legally required permission and consent from every other person being recorded.
• You are solely responsible for complying with all federal, state, local, and international recording consent laws before recording, uploading, saving, or sharing any audio through the Service.
• You acknowledge that various U.S. states, including California, Illinois, Florida, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, and Washington, have laws governing the recording and collection of voice data and audio communications. Your use of the recording features, and your act of saving a recording, constitutes your informed, affirmative consent under applicable state law.
• If you do not consent to microphone access or voice data storage, do not use the recording features; all other features of the Service remain fully available without microphone access.
• You may revoke consent at any time by disabling microphone access in your device or browser settings and by deleting any previously saved recordings within the app.

19. Account Deletion and Data Removal

• You may request or initiate account deletion through the Service where available.
• Account deletion removes or queues deletion of your account, saved talk tracks, saved recordings, uploaded notes, and related app content, subject to reasonable backup, security, legal, tax, fraud-prevention, and compliance retention.
• If an active subscription is linked to your account, you must cancel or schedule cancellation through the billing tools or payment processor before requesting account deletion.
• Deleting the app from your device, removing a home screen shortcut, clearing browser data, or stopping use of the Service does not automatically cancel a paid subscription.

20. Dispute Resolution

Before filing a claim, you agree to contact ViaVinco and try to resolve the dispute informally. Any dispute that cannot be resolved informally will be handled in the courts or forums required by applicable law.

21. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or misuse the Service.

22. Governing Law

These Terms are governed by the laws of Michigan, without regard to conflict-of-law principles, except where local law requires otherwise.

23. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms in the Service.
